Agreement to terms

By creating an account or using GoneUP ("the App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App. These Terms are a legal agreement between you and GoneUP LLC ("we", "us", "our"), a Tennessee limited liability company.

Eligibility

You must be at least 13 years old to use GoneUP. If you are under 18, you represent that a parent or legal guardian has reviewed and agrees to these Terms on your behalf.

Your account

To use certain features, you must create an account with a valid email address and password. You are responsible for keeping your login credentials secure. You are responsible for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

Your data

You own your data. Grocery lists, trip history, meal plans, price data, and any other content you create in the App belongs to you.

By using the App, you grant us a limited license to store, process, and display your data solely to provide the service to you. We do not sell, rent, or share your data with third parties for advertising or marketing purposes.

Your data is stored locally on your device and, if you are signed in, synced to our cloud infrastructure (Supabase) for backup and multi-device access. You can delete your data at any time by using the Delete Account button in the app or by contacting us at hello@goneupapp.com.

Acceptable use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to access other users' accounts or data
• Reverse-engineer, decompile, or disassemble the App
• Interfere with or disrupt the service or its infrastructure
• Use automated tools to scrape, crawl, or extract data from the App
• Misrepresent your identity or impersonate another person

The service

GoneUP is a personal grocery planning and price tracking tool. Price estimates are based entirely on your own trip history. We do not guarantee the accuracy of any price estimate, trend, or insight. The App is not a financial advisor.

We may update, modify, or discontinue features at any time. We will make reasonable efforts to notify you of significant changes.

Receipt scanning

GoneUP includes a receipt scanning feature that uses on-device text recognition (OCR) to extract item names, quantities, and prices from photos of your receipts. This feature is provided for convenience only.

• Extracted data is approximate and may contain errors, including incorrect item names, prices, or quantities
• You should review and verify all extracted data before saving a trip
• Receipt images are processed entirely on your device and are not transmitted to any server
• GoneUP LLC is not responsible for any financial decisions, budgeting errors, or other consequences arising from inaccurate receipt data

Subscriptions and pricing

GoneUP offers a free tier and a paid Pro tier. Current pricing, features, and trial terms are displayed within the App and on our website.

• Subscriptions are billed through the platform where you purchased them (Apple App Store or Google Play)
• Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period
• You can cancel at any time through your app store account settings or by contacting us
• Refunds are subject to the policies of the platform where you purchased your subscription
• We reserve the right to change pricing with reasonable notice. Price changes do not affect your current billing period

If you cancel your Pro subscription, you retain access to Pro features until the end of your paid period. After that, your account reverts to the free tier. Your data is never deleted as a result of downgrading.

Intellectual property

The GoneUP name, logo, design, and source code are the property of GoneUP LLC. You may not copy, modify, distribute, or create derivative works from any part of the App without our written permission.

Limitation of liability

To the maximum extent permitted by law, GoneUP LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. This includes, but is not limited to, loss of data, loss of profits, or inaccurate price estimates.

Our total liability to you for any claim arising from these Terms or your use of the App is limited to the amount you have paid us in the 12 months preceding the claim, or one hundred dollars (USD $100), whichever is greater.

Disclaimer of warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Termination

You may stop using the App at any time. You may delete your account using the Delete Account button in the app or by emailing hello@goneupapp.com.

We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the App ceases immediately. The following sections survive termination: Your Data, Limitation of Liability, Disclaimer of Warranties, Indemnification, Dispute Resolution, Governing Law, and Severability.

Indemnification

You agree to indemnify, defend, and hold harmless GoneUP LLC and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third party's rights.

Dispute resolution

Please read this section carefully. It affects your legal rights.

You and GoneUP LLC agree to resolve any disputes arising from these Terms or your use of the App through binding individual arbitration, except for disputes that qualify for small claims court. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• Arbitration will take place in Wilson County, Tennessee, or remotely if you prefer
• The arbitrator's decision is final and binding
• If your claim is for less than $10,000, GoneUP LLC will reimburse your AAA filing fees

Class action waiver. You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding against GoneUP LLC.

Opt-out. You may opt out of this arbitration agreement by sending written notice to hello@goneupapp.com within 30 days of creating your account. If you opt out, disputes will be resolved in the state or federal courts of Wilson County, Tennessee.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by email before the changes take effect. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GoneUP LLC regarding your use of the App. These Terms supersede any prior agreements or understandings, whether written or oral.

Governing law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law provisions. Subject to the Dispute Resolution section above, any disputes arising from these Terms will be resolved in the state or federal courts located in Wilson County, Tennessee.
